Welcome to LafzUSA! These Terms of Service ("Terms") govern your use of our website, services, and products. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Acceptance of Terms

By accessing and using LafzUSA's services, you accept and agree to be bound by the terms and provision of this agreement. These Terms apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

Services

LafzUSA provides the following services:

• Custom business platform development
• Mobile application development
• AI automation solutions
• Data analytics and business intelligence
• Technical consulting and support
• Project management and implementation

User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password and for all activities that occur under your account. You agree not to disclose your password to any third party.

Intellectual Property Rights

The service and its original content, features, and functionality are and will remain the exclusive property of LafzUSA and its licensors. The service is protected by copyright, trademark, and other laws.

You may not duplicate, copy, or reuse any portion of the HTML/CSS, JavaScript, or visual design elements or concepts without express written permission from LafzUSA.

User Conduct

You agree not to use the service to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit harmful or malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the service
• Use the service for any fraudulent or illegal purpose

Project Deliverables

Ownership

Upon full payment of project fees, you will own the custom software solutions developed specifically for your business needs. LafzUSA retains ownership of:

• Reusable frameworks and libraries developed by LafzUSA
• Third-party components and open-source software
• General methodologies and processes
• Pre-existing intellectual property

Warranties

LafzUSA warrants that our services will be performed in a professional manner and in accordance with industry standards. We provide a 90-day warranty period for bugs and defects in delivered software, subject to proper use and maintenance.

Payment Terms

Fees and Payment

Payment terms are specified in individual project proposals and contracts. Generally:

• 50% deposit required to begin work
• Milestone payments as work progresses
• Final payment due upon project completion
• Late payments may incur additional fees

Refunds

Refund requests are evaluated on a case-by-case basis. Deposits are non-refundable once work has begun. Refunds for completed work are not available unless LafzUSA fails to deliver as specified in the project agreement.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information, trade secrets, and sensitive business information disclosed during the course of our relationship. This obligation survives the termination of our agreement.

Limitation of Liability

In no event shall LafzUSA be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the service or any products delivered.

Service Availability

We strive for 99.9% uptime for our hosted services but do not guarantee uninterrupted service. We will provide advance notice of scheduled maintenance and work to minimize service disruptions.

Termination

Either party may terminate this agreement with 30 days written notice. Upon termination:

• All outstanding payments become immediately due
• You retain access to completed deliverables
• Both parties will return or destroy confidential information
• Ongoing support services will continue as specified

Governing Law

These Terms shall be interpreted and governed by the laws of the United States, without regard to conflict of law provisions. Any disputes arising from these Terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through our website. Continued use of our services after such modifications constitutes acceptance of the updated Terms.
